Coach Netherlands B.V., a company registered in the Netherlands with registration (KvK) number 50742833 and VAT number NL822911000B01 whose registered address is located at Hanzepoort 16-18, Oldenzaal, Netherlands, 7575 DA ("Coach") is the provider of e-commerce websites, including world.coach.com (the "Sites"). These Terms of Use and the Terms and Conditions of Sale contain the terms and conditions governing the Sites and the products made available through the Sites. By using the Sites, you expressly accept and agree to abide by all the terms and conditions contained herein. Do not use the Sites if you do not accept and agree to these terms and conditions. Unless otherwise referenced herein, any reference to the "Company" shall include Coach, Inc. and all of its affiliates, including without limitation Coach.

This Site is available only for your personal use, which shall be limited to viewing the Sites, providing information to the Sites, downloading product information for your personal review and for the purchase of products.

Copyright Information

The Company owns or has rights to all of the wallpaper, icons, characters, artwork, images, graphics, music, text, software and other content of the Sites (the "Content"), and all HTML, CGI and other code and scripts in any format used to implement the Sites (the "Code"). The Content and Code of the Sites is protected by copyright. Except as set forth above, you may not copy, modify, upload, download, transmit, re-publish, display for redistribution to third parties for commercial purposes, or otherwise distribute any Code or Content from the Sites without the prior written agreement of the Company. You may not use the Content or Code from the Sites for any purpose other than those set forth above. All names, logos and trademarks which appear on the Sites are the property of the Company or are used by us under license. You may not use any of the foregoing for any purpose without the prior express written permission of the Company. Your failure to comply with these Terms of Use will constitute breach of contract and will violate the Company's copyright, trademark and other proprietary and industrial property rights. You may print hard copy portions of this website with the sole intent of placing an order with us or for keeping store location, hours or phone number information. The use of any such material for any other reason, on any other website, or the modification, distribution, or republication of this material without prior written permission from the Company is strictly prohibited.

Except as expressly provided above, nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any patent, trademark, copyright or other proprietary or industrial right of the Company, its affiliates or any third party.

Use Of Information Submitted By You

Note: This section does not apply to personal data supplied by you to the Sites, such as your name, address, e-mail address, telephone number and the like. Please see our Privacy Notice for information regarding our treatment of personal data.

If you respond to us with any information, including but not limited to feedback, data, questions, comments, suggestions, or the like, such information shall NOT be deemed confidential. All such submissions shall be deemed the property of the Company, and your submission of information shall constitute an assignment to us of all worldwide rights, titles and interests in such information. The Company will not be liable for any use or disclosure of such information. We will not have any obligation to keep such information confidential and will be free to reproduce, use, disclose and distribute the information to others without limitation. The Company will be free to use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products which incorporate or otherwise rely upon such information.

We welcome your comments and suggestions on our Sites and products, but we do not seek to solicit any confidential or proprietary ideas, suggestions, materials or other information relating to developing, designing, redesigning, modifying, manufacturing or marketing our products or any new products. By submitting information, you warrant that the Company may publish such information, use it as part of our operations, and incorporate its concepts in our products without liability.

User-Generated Content (UGC)

Thank you for submitting User-Generated Content (UGC) through Emplifi Inc ("Emplifi").

By submitting or authorising Emplifi to use your content (the “Content”) on our platforms, you grant Coach (also referred to as “We” or “Us”). and its affiliates an unlimited, non-exclusive, fully sublicensable, worldwide right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You further grant Emplifi, Coach and its affiliates the right to use your username, real name, image, likeness, voice, descriptions of you, location, or other identifying information, in connection with any use of the Content.

By submitting the Content, you promise that:

• You are the owner of the Content, or have the rights and permissions to grant Coach the rights described in this section;
• You are at least 16 years of age;
• The content does not infringe the intellectual property rights, data protection rights, or any other rights of any third party and you have the consent of all individuals featured in the Content;
• The Content is not unlawful, defamatory, obscene, contains software viruses, commercial solicitation, chain letters, mass mailings or any form of spam;
• You have not used a false e-mail address, impersonated any person or entity, or otherwise misled as to the origin of any of the Content; and
• You have not been offered, and have not accepted, any payment or other incentive in connection with the Content, unless you have disclosed this to Coach.

Any Content you submit may be used for other advertising purposes and posted to publicly facing websites, including other websites across the Internet in addition to the website that you originally submitted the Content. Accordingly, please do not post anything that you do not want to share with the general public (for example, financial or personal information etc). In addition, the Content that you submit may be used for advertising, analytic and other statistical purposes including, for example, product improvement, benchmarking (e.g. where various products/services or categories of products/services are compared against each other or against the market as a whole), sentiment analysis (e.g. using the data from multiple reviews it is possible to determine how consumers as a whole feel about a product/service), and online behavioural advertising.

Emplifi review and moderate all Content submitted. We (or Emplifi) may decide not to feature your Content, or to remove it at any time if it is considered to violate these Terms of Use, or for any other reason. We are not obliged to publish, distribute, or use any Content submitted to us. The decision to feature Content remains with Coach, subject to these Terms of Use.

You agree that you are solely responsible for the Content you submit and warrant that all Content complies with these Terms of Use. You also agree to indemnify Coach and its affiliates for a breach of your representations and warranties.

You may request the removal of your Content from our platforms by contacting us at privacy@tapestry.com. You understand that other users of our platforms may share, screenshot or otherwise copy your Content. Whilst we will remove Content from our platforms which we control upon your request, we cannot guarantee the removal of Content that has already been shared by third parties.

Emplifi’s use of any UGC and customer account information you submit is subject to Emplifi's Privacy Policy, which can be found here.

Disclaimers

The Company publishes information on our Sites as a convenience to our visitors. While we attempt to provide accurate and timely information, there may be inadvertent technical or factual inaccuracies and typographical errors. We reserve the right to make corrections and changes to the Sites at any time without notice. The products described in the Sites may not be available in your location. We do not claim that the information in the Sites is appropriate to your jurisdiction or that the products described in our Sites will be available for purchase in all jurisdictions.

World.coach.com is operated by Coach Netherlands B.V. It is possible that some software that may be downloaded from the Sites is subject to government export control or other restrictions. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF WHATEVER KIND RESULTING FROM WHATEVER CAUSE, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, OR ANY OTHER TYPE OF DAMAGE, TANGIBLE OR INTANGIBLE IN NATURE, WHETHER IN AN ACTION UNDER THEORIES OF CONTRACT, TORT OR OTHERWISE, ARISING OUT OF OR IN ANY WAY RELATING TO THE USE OR PERFORMANCE OF THE INFORMATION ON, OR ACCESSED THROUGH, THE COMPANY'S SITES. NOTHING IN THIS CLAUSE OR THESE TERMS OF USE SHALL LIMIT OR EXCLUDE COMPANY'S LIABILITY FOR (I) DEATH OR PERSONAL INJURY RESULTING FROM COMPANY'S NEGLIGENCE, OR (II) FRAUD OR FRAUDULENT MISREPRESENTATION

In the event the Company fails to comply with these Terms of Use or is otherwise liable to you, Company shall only be responsible for loss that is a foreseeable result of our breach. Further, the Company's total liability to you in respect of all losses arising under or in connection with any purchases you made through the Sites or by using the Sites, whether in contract or tort (including negligence), breach of statutory duty, or otherwise shall be limited to the price of the Products you purchased, or if the claim is not in relation to the purchase of Product(s) by You, then €500 (EUR), or the equivalent amount in currencies outside the United Kingdom.

The Company reserves the right to withdraw access to the Sites or to revise the services and products described in the Sites at any time without notice.

The Company may at any time revise the terms and conditions contained in these Terms of Use by updating this posting. You are bound by any revisions and should periodically visit this page to review the current terms and conditions which apply to your use of the Sites.

The invalidity of any term, condition or provision in these Terms of Use shall not affect the enforceability of those portions of the Terms of Use deemed enforceable by applicable courts of law.

Indemnification

You agree to indemnify, defend and hold harmless Coach, Coach Inc. and its affiliates and its officers, directors, attorneys, employees, contractors, agents, licensors, service providers, subcontractors and suppliers from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs, arising or resulting from your use of the Site and any violation of these Terms of Use. If you cause a technical disruption of the Site or the systems transmitting the Site to you or others, you agree to be responsible for any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys' fees and court costs, arising or resulting from that disruption. Coach reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with Coach in the defense of such matter.

Severability

If any provision of the Terms of Use is unlawful, void or unenforceable, the remaining provisions of the agreement will remain in place.

Disputes

Any dispute relating in any way to these Terms of Use, your visit to the Site, or to any purchase, return or other transaction with the Site (collectively, "Dispute") shall be governed and construed by the laws of England and Wales. Where a specific applicable law (namely specific consumer laws in your country), explicitly prevails the laws of England and Wales, with respect to the prevailing subject matter, the governing law of such matter will be that specific law. To the fullest extent permitted by applicable law, any dispute arising out of or relating to these Terms of Use shall be submitted to the exclusive jurisdiction of the English Courts. This does not affect your legal rights as a consumer in the country or region in which you are located.

Any claim or cause of action you may have relating to a Dispute must be commenced within one (1) year after the claim or cause of action arose. You agree that proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action.

Entire Agreement and Admissibility

The Terms of Use and any policies or operating rules posted on this Site constitute the entire agreement and understanding between you and Coach with respect to the subject matter thereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. A printed version of these Terms of Use shall be admissible in judicial or administrative proceedings based on or relating to use of the Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
